1. General

This website is owned and operated by Refresh Agency, doing business as TPI (“we”, “us”, “our”), with headquarters in Copenhagen, Denmark.

By accessing, using, or engaging with TPI in any manner—including but not limited to visiting this website, contacting us, subscribing to communications, participating in events, using services, or entering into discussions—you agree to be bound by these Terms of Service, our Privacy Policy, and any additional terms that may apply to specific services or engagements. If you do not agree, you should discontinue use of the website and refrain from engaging with TPI.

We reserve the right to update or modify these Terms at any time. Continued use of the site following any changes constitutes acceptance of the revised Terms.


2. Scope of Platform Use and Engagement

This website provides general information about TPI’s work, perspectives, and areas of expertise. Content published on this site is made available for informational and contextual purposes only.

Accessing or using this website, or engaging with TPI through informal correspondence, does not constitute professional advice, nor does it create a professional, advisory, fiduciary, or contractual relationship.

Any advisory, strategic, or professional services are provided only pursuant to a formally agreed written engagement, with scope, terms, and responsibilities defined in a separate agreement.

Contributions and commissioned work

Any material submitted to TPI—whether as part of collaboration, feedback, commissioned work, or engagement deliverables—shall be treated as work made for hire to the fullest extent permitted by law.

Where such material is not legally deemed a work made for hire, you hereby irrevocably assign to TPI all right, title, and interest in and to such material, including all intellectual property rights, without additional compensation, unless otherwise agreed in writing.

7. Payment and Delivery

All prices are set at the time of purchase or agreement. Payments may relate to digital materials, advisory services, retainers, or participation in future‑dated events, convenings, or in‑person engagements (including, for example, international programmes or gatherings scheduled for a later year).

Digital content is delivered electronically unless otherwise specified. Advisory services and engagements are delivered in accordance with the terms set out in a written agreement where applicable. Payments are processed via third‑party payment providers; TPI does not store payment information.

Unless explicitly stated otherwise in a written agreement, all payments are final and non‑refundable, including payments made in advance for future events, travel‑based programmes, or international engagements, regardless of timing (e.g. payments made in earlier years for a scheduled future event).

Clients and participants are responsible for their own scheduling, availability, travel arrangements, and related costs. TPI shall not be responsible for changes in personal circumstances, market conditions, regulatory environments, or geopolitical factors that affect attendance or participation.


8. Force Majeure

We shall not be liable for delays or failure to perform resulting from causes beyond reasonable control, including but not limited to governmental action, natural disasters, conflict, supply disruption, or systemic market events.


9. Governing Law

These Terms are governed by the laws of the Copenhagen, Denmark, without regard to conflict of law principles.


Code of Engagement & Conduct

This Code defines the boundaries and behavioural standards that apply to all interactions with TPI, including website use, correspondence, public commentary, and service engagements.

1. Professional Conduct

We expect respectful, professional, and good‑faith engagement at all times. Behaviour that is abusive, discriminatory, manipulative, harassing, or disruptive will not be tolerated.

We reserve the right to moderate, remove, or disengage from interactions that violate these standards.


2. Scope Boundaries

TPI operates at a strategic and advisory level. We do not provide:

  • legal advice
  • financial or investment advice
  • psychological or therapeutic services
  • operational or executional management unless explicitly contracted

Responsibility for decisions, implementation, and outcomes remains with the individual or organisation.


3. Communication Standards

We value clarity, discretion, and respect. Public or private communications that misrepresent our work, misuse our materials, or breach confidentiality are not permitted.


4. Right to Refuse or Terminate Engagement

We reserve the right, at our sole discretion, to decline, suspend, or terminate access to the website, services, or any engagement at any time, without obligation to provide justification, particularly where conduct or alignment falls outside this Code.

This includes protection of our integrity, reputation, intellectual property, and capacity to do our work responsibly.


5. Values and Alignment

TPI works selectively with leaders and organisations operating in complexity and transition. Use of our platform and services implies respect for intellectual independence, strategic responsibility, and systemic awareness.


6. No Obligation to Engage

Accessing this site or contacting TPI does not create any obligation for TPI to respond, engage, or enter into a professional relationship.
